EVNPECC4 organized Annual General Meeting of Shareholders in 2024

On April 26^th 2024, Power Engineering Consulting Joint Stock Company 4 (EVNPECC4) held its 2024 Annual General Meeting of Shareholders (AGM 2024) at Quinter Central Hotel - Nha Trang, in accordance with legal procedures and regulations, the stock code is TV4. The meeting was attended and directed by representatives of Vietnam Electricity (EVN) and 65 shareholders of EVNPECC4, representing 15,222,759 shares, accounting for 76.95% of the total voting shares of the Company.

In 2023, the Company faced many difficulties and challenges due to objective reasons. Accordingly, the consulting sector suffered from a limited source of work, and it was difficult to seek business opportunities.

However, thanks to the flexible solutions implemented by the Board of Directors and the exceptional efforts of all employees, in 2023 EVNPECC4 exceeded the targets set by the General Meeting of Shareholders. Revenue reached 226,153 million VND, pre-tax profit reached 36,216 million VND, and after-tax profit reached 32,758 million VND (Revenue increased by 13%, pre-tax profit increased by 6.8%).

With the achieved results, at the Summary Conference of Vietnam Electricity held on January 2^nd 2024, EVNPECC4 was once again honored as one of the two entities under EVN being proposed to receive the Prime Minister’s Emulation Flag for excellent achievement in 2023. At the same time, locally, on March 12^th 2024, EVNPECC4 was awarded a Certificate of Merit by the People's Committee of Khanh Hoa province for its achievement in the emulation activities among enterprises (Group 3).

EVNPECC4 also disclosed its financial statements and transparent information on the Hanoi Stock Exchange (HNX), protecting the interests of investors and shareholders. On November 10^th 2023, EVNPECC4 was honored in the Top 10 Best Corporate Governance Listed Companies on HNX in 2022-2023. Being honored by HNX in the top 10 Best Corporate Governance Listed Companies on HNX in 2022-2023 recognizes EVNPECC4's role and contribution to the development and transparency of Vietnam's stock market.

During the Annual General Meeting, the following agenda items were approved: Report of the Board of Directors on the results of 2023 and the plan for 2024; Report of the Board of Supervisors on activities in 2023 and plan for 2024; Audited financial statement in 2023; Profit distribution plan for 2023; The production and business plan for 2024, including key targets; The investment plan for construction and asset, machinery, and equipment procurement for 2024; Profit distribution plan for 2024; Remuneration plan for the Board of Directors and Board of Supervisors in 2024; Supplementing business sectors and industries; Amending and supplementing the Company's charter; Approving the selection of the auditing unit for the 2024 Financial Statements; Approving the authorization for the Company's Board of Directors to decide on the Company's signing of contracts and transactions of borrowing and selling assets in 2024.

The General Meeting also received many opinions and suggestions from shareholders, as well as the response and explanation of the meeting chairman. After hearing the Secretariat of the General Meeting read the draft Resolution and Minutes of the 2024 Annual General Meeting of Shareholders of the Company, the General Meeting unanimously agreed with the contents of the Resolution & Minutes and voted to approve with 100% of attending shareholders agreeing.
